1. Risk Disclosure Statement

1. General Risk Warning: This document complies with NGX rules governing dealing members. The statement is not an exhaustive list of all risks of trading in the Nigerian Capital Market.

2. Nature of Risk: There are varying degrees of risk for different instruments. Do not invest unless you fully understand the risks involved and whether an investment is appropriate given your experience, objectives, financial resources, and all other conditions.

3. Capital Risk: An investor is at risk of losing 100% of their investment. Prices fluctuate, sometimes drastically. The value of a security may become insignificant and losses may be incurred rather than profits.

4. Currency Risk: Fluctuations in exchange rates may affect profit or loss in foreign currency denominated transactions.

5. Market Risk: Transactions in markets within and outside Nigeria may expose you to additional risks. Such markets may offer different or diminished investor protection.

6. Fee Awareness: Seek proper clarification of all fees commissions and charges before issuing a trading instruction. These will affect your net profit or increase your loss.

7. Execution Only: Network Capital Limited acts as an execution-only stockbroker and not a financial adviser. We only execute BUY and SELL mandates on the floor of the NGX.

Confirmation: I/We confirm that I/We have read and understood this Risk Disclosure Statement and any questions have been answered by Network Capital Limited to my/our satisfaction.

2. Email Indemnity and Data Processing Consent (All Clients)

Data Processing Consent: I hereby grant Network Capital Limited and all its third-party processors authority to process my personal data for the purposes of: Opening a brokerage account; Execution of purchase and sale instructions; Receiving trade alerts; Accessing the online portal; Receiving investment updates and newsletters; Receiving email promotions and marketing materials; Rectification of personal data; Financial Services Education; Asset and portfolio management; Processing e-dividends; and Research and statistical purposes. I am aware this is necessary for Network Capital Limiteds legitimate interest. I consent to this processing and understand I can withdraw consent at any time using the Data Subject Consent Withdrawal Form.

Email Indemnity: You consent to the use of electronic communication (email or phone) for binding instructions and evidence. You waive all claims against NETCAP for any resulting loss or liability and irrevocably agree to indemnify and hold NETCAP harmless from all claims actions damages or liabilities arising from such communications. You acknowledge risks including delay non-receipt third-party interception and data corruption and hereby fully waive discharge and indemnify NETCAP in respect of any loss or damages resulting from these risks.

I/We accept the Email Indemnity terms and consent to the processing of my/our personal data for the purposes described above.

3. Terms and Conditions

Office Hours: 8:00 AM to 5:00 PM on each Business Day in Nigeria.

Mandate Deadline: 8:00 AM on the Business Day of intended execution. Mandates received after this deadline will be executed on the next Business Day.

Execution Only: NETCAP executes mandates on a best-efforts basis. It cannot guarantee execution on a particular day even at market price.

Settlement: The Nigerian market operates on T+2 settlement. Proceeds are credited to your registered bank account within two business days via CSCS Direct Settlement.

Fees: Brokerage (max 1.35%), NGX/SEC fee (0.3%), CSCS fee (0.3%), Stamp Duty (0.075%), CSCS Trade Alert (N6/SMS alert), VAT 7.5% on applicable fees. Full breakdown on every contract note. No hidden charges ever.

AML Compliance: All transactions are subject to the Money Laundering (Prevention and Prohibition) Act 2022. Network Capital is required to report suspicious transactions to the Nigerian Financial Intelligence Unit (NFIU).

Payments: All deposits must come directly from the clients own bank account. Proceeds are paid only to the registered bank account on file. No third-party payments.

Confidentiality: The Client agrees to keep confidential any information about NETCAP. Network Capital will not divulge client information to any third party except as required by law.

Termination: Either party may terminate with three (3) days’ written notice provided no outstanding transactions remain to be settled.

Governing Law: This agreement is governed by the Laws of the Federal Republic of Nigeria.

Amendment: The client agrees to be bound by any review changes or amendments to these terms from time to time.

I/We have read understood and agree to be bound by the Terms and Conditions of Network Capital Limited as stated above and as may be amended from time to time.

4. Data Protection Consent (Nigeria Data Protection Act 2023)

I consent to the collection processing and storage of my personal data by Network Capital Limited in accordance with the Nigeria Data Protection Act 2023 (NDPA). My information will be used solely for account management regulatory compliance trade execution and service delivery.

Network Capital Limited will not sell share or monetise my data with unauthorised third parties. I understand my rights to access correct or request deletion of my personal data subject to regulatory retention requirements. I may exercise these rights by contacting the Data Protection Officer at Network Capital Limited.

Network Capital Limited may be required to share my data with regulatory authorities (SEC NGX CSCS NFIU) as required by applicable Nigerian law.

I/We consent to the collection and processing of my/our personal data as described above in accordance with the NDPA 2023.
